Terms of Service
Effective Date: July 7, 2026
1. Introduction and Acceptance of Terms
These Terms of Service (“Terms”) govern your access to and use of the services provided by NorthFrame Motion Studio (“NorthFrame Motion Studio,” “we,” “us,” or “our”), a motion-studio business located at 215 King Street W, Toronto, ON M5V 3M2, Canada. By engaging our services, requesting a quote, signing a proposal, paying an invoice, or otherwise using our services, you agree to be bound by these Terms.
If you do not agree to these Terms, you must not use our services. If you are entering into these Terms on behalf of a company or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms.
2. Scope of Services
NorthFrame Motion Studio provides creative motion design and video production services, which may include, without limitation:
- 2D motion graphics
- Logo animation
- Explainer videos
- Social media motion content
- Title sequences
- Kinetic typography
- Brand video packages
The exact scope, deliverables, timelines, revision limits, technical specifications, and fees for each project will be described in a written proposal, statement of work, estimate, invoice, or other written agreement (collectively, a “Project Agreement”). In the event of a conflict between these Terms and a Project Agreement, the Project Agreement will prevail only to the extent of the conflict.
Unless expressly agreed in writing, services do not include voiceover talent, music licensing, stock asset licensing, translation, legal review, regulatory review, printing, media buying, or third-party platform management.
3. User Obligations and Responsibilities
You agree to:
- Provide complete, accurate, and timely information necessary for us to perform the services;
- Supply all required content, branding assets, approvals, and feedback within the requested timeframes;
- Ensure that all materials you provide do not infringe any third-party rights and comply with applicable laws;
- Obtain all necessary permissions, releases, licenses, and consents for content you supply, including names, likenesses, music, footage, trademarks, and copyrighted materials;
- Review deliverables promptly and notify us of any requested revisions or concerns within the review period stated in the Project Agreement;
- Use the final deliverables only in accordance with the license or ownership terms set out in the Project Agreement and these Terms.
You are solely responsible for the accuracy, legality, and appropriateness of the materials and instructions you provide. We are not responsible for delays caused by your failure to provide timely approvals, assets, or instructions.
4. Payment Terms and Conditions
Fees, payment milestones, and billing schedules will be set out in the applicable Project Agreement or invoice. Unless otherwise stated in writing:
- A deposit or upfront payment may be required before work begins;
- All amounts are stated in Canadian dollars (CAD) unless otherwise specified;
- Invoices are due upon receipt or within the payment period stated on the invoice;
- Late payments may result in suspension of work, delayed delivery, or cancellation of the project;
- Overdue amounts may accrue interest at the maximum rate permitted by applicable law, or if no maximum is specified, at a reasonable commercial rate stated on the invoice or Project Agreement;
- You are responsible for any applicable taxes, including GST/HST, unless a valid exemption applies and is documented in advance.
Any estimates provided by NorthFrame Motion Studio are based on the information available at the time and may change if the project scope changes, if additional revisions are requested, or if delays are caused by missing materials or approvals.
If a payment is reversed, disputed without reasonable cause, or declined, we may suspend services until the issue is resolved. You agree to reimburse reasonable collection costs, bank fees, chargeback fees, and related expenses incurred by us in connection with unpaid amounts, to the extent permitted by law.
5. Cancellation and Refund Policy
Either party may cancel a project by providing written notice, subject to the terms of any Project Agreement. Unless otherwise agreed in writing:
- Deposits are non-refundable to the extent they cover time reserved, planning, concept development, or work already performed;
- If you cancel after work has begun, you must pay for all completed work, approved stages, committed third-party costs, and non-cancellable expenses incurred up to the cancellation date;
- If we cancel due to your breach, non-payment, lack of cooperation, or repeated failure to provide required materials or approvals, amounts already paid may be retained to cover work performed and costs incurred;
- Refunds, if any, will be determined in good faith based on the amount of work completed and expenses incurred.
Because our services are custom creative services, completed work is generally non-refundable once delivered or substantially performed, except where required by applicable law or expressly stated otherwise in a Project Agreement.
6. Liability Limitations
To the fullest extent permitted by applicable law, NorthFrame Motion Studio shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of revenue, loss of business opportunity, loss of goodwill, or loss of data, arising out of or related to the services or these Terms, even if advised of the possibility of such damages.
To the fullest extent permitted by law, our total aggregate liability for any claim arising out of or relating to the services or these Terms shall not exceed the total fees actually paid by you to NorthFrame Motion Studio for the specific project giving rise to the claim in the three (3) months preceding the event giving rise to the claim, or CAD $1,000, whichever is greater, unless a different limitation is expressly stated in a Project Agreement.
We are not responsible for delays, errors, or losses caused by third-party platforms, hosting providers, software, stock libraries, cloud services, payment processors, or delivery services. We do not guarantee that services will be uninterrupted, error-free, or suitable for a particular purpose beyond what is expressly stated in writing.
Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by law, including liability for gross negligence, wilful misconduct, or any non-excludable statutory obligation.
7. Intellectual Property Rights
Unless otherwise agreed in writing, all pre-existing materials, templates, workflows, tools, software, techniques, know-how, and creative methods used by NorthFrame Motion Studio remain our property or the property of our licensors.
Upon full payment of all amounts due, and subject to any third-party rights and any separate licensing terms, you will receive the rights expressly granted in the Project Agreement for the final deliverables. Unless the Project Agreement states otherwise:
- We retain ownership of all preliminary concepts, drafts, source project files, working files, and unused ideas;
- Final deliverables may be licensed or assigned only as specified in the Project Agreement;
- Third-party assets, including stock footage, fonts, music, plugins, and licensed media, remain subject to their respective license terms;
- You may not resell, sublicense, modify, or distribute deliverables beyond the scope of the granted rights without our prior written consent.
We may, unless you object in writing or the Project Agreement states otherwise, display completed work in our portfolio, website, social media, reels, award submissions, and promotional materials for self-promotional purposes, provided that any confidential information is not disclosed.
You represent and warrant that any materials you provide to us do not infringe the intellectual property rights of any third party and that you have all necessary rights to permit us to use such materials in performing the services.
8. Data Protection and Privacy
NorthFrame Motion Studio will handle personal information in accordance with applicable Canadian privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA), where applicable, and any other relevant provincial privacy legislation.
We collect, use, and disclose personal information only as reasonably necessary to:
- Provide and manage our services;
- Communicate with you regarding projects, invoices, and support;
- Process payments and maintain business records;
- Comply with legal and regulatory obligations;
- Improve our services, workflows, and client experience.
We take reasonable administrative, technical, and physical safeguards to protect personal information. However, no method of transmission or storage is completely secure, and we cannot guarantee absolute security.
Where we use third-party service providers, including cloud storage, file transfer, analytics, or payment processors, your information may be processed by those providers in accordance with their own privacy practices and applicable law.
If you provide personal information of any third party, you represent that you have obtained all necessary consents or have another lawful basis to share that information with us.
9. Force Majeure
NorthFrame Motion Studio shall not be liable for any delay or failure to perform its obligations where such delay or failure results from events beyond our reasonable control, including but not limited to acts of God, fire, flood, severe weather, war, terrorism, civil unrest, labour disputes, power outages, internet outages, government action, epidemic, pandemic, supply chain disruption, or failure of third-party services.
If a force majeure event occurs, the affected party will use commercially reasonable efforts to notify the other party and resume performance as soon as reasonably practicable. Deadlines will be extended for the duration of the force majeure event and any resulting recovery period.
10. Changes to Terms
We may update or modify these Terms from time to time to reflect changes in our business practices, legal requirements, or service offerings. The updated Terms will be effective upon posting or upon notice to you, as applicable.
For ongoing projects, material changes will not retroactively alter rights and obligations already agreed in a signed Project Agreement unless both parties consent in writing or the change is required by law. Your continued use of our services after the effective date of updated Terms constitutes acceptance of the revised Terms.
11. Applicable Law and Jurisdiction
These Terms and any dispute, claim, or controversy arising out of or relating to them, the services, or any Project Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
You agree that the courts located in Toronto, Ontario shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the services, subject to any mandatory consumer protection or other non-waivable rights under applicable law.

13. Severability Clause
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall remain in full force and effect. If necessary, the invalid provision shall be modified to reflect the parties’ original intent as closely as possible while remaining enforceable.
